Data Ownership

All data, records, documents, databases, and other information provided by the Client remain the exclusive property of the Client. I.T.S. claims no ownership of Client data. Upon completion of a project, I.T.S. will, when applicable, securely remove Client data from its development environments in accordance with the applicable agreement.

Software Licensing

Solutions developed by I.T.S. are licensed, not sold.

The Client is granted a limited, non-exclusive, non-transferable license to install, access, and use the delivered solution solely as expressly permitted under the applicable agreement.

This license does not transfer ownership of the software, source code, documentation, intellectual property, or any underlying technologies.

Unless expressly authorized in writing, the Client may not copy, modify, distribute, sublicense, reverse engineer, decompile, disassemble, create derivative works from, or commercially exploit the software except as expressly permitted under the applicable agreement.

Intellectual Property

Unless expressly agreed otherwise in writing, all software, source code, frameworks, libraries, APIs, algorithms, methodologies, architectures, documentation, artificial intelligence models, utilities, development tools, databases, reusable components, and all other intellectual property developed, owned, licensed, or incorporated by I.T.S. (Information Technology Services) remain the exclusive property of I.T.S. or their respective owners.

The delivery of a solution, payment for development services, or completion of a project does not transfer ownership of any intellectual property to the Client.

Reusable Technology

I.T.S. reserves the unrestricted right to develop, modify, improve, reuse, commercialize, license, sublicense, maintain, and incorporate its proprietary software, frameworks, libraries, methodologies, algorithms, artificial intelligence models, development tools, and other reusable technologies into products and services provided to any current or future client.

Nothing contained in any agreement shall be interpreted as granting the Client ownership of I.T.S.'s proprietary technology.

Custom Development

Unless expressly agreed otherwise in writing, custom software, source code, and related intellectual property developed by I.T.S. remain the property of I.T.S.

The Client receives only the usage rights expressly granted under the applicable agreement.

Any assignment or transfer of ownership must be expressly stated in a written agreement executed by authorized representatives of both parties.

Third-Party Software

Solutions may include software, APIs, libraries, cloud services, open-source software, or other technologies owned or licensed by third parties.

All copyrights, trademarks, patents, licenses, and other intellectual property rights relating to such components remain the property of their respective owners and are governed by their respective license agreements.

Confidentiality

I.T.S. treats Client information as confidential and will not disclose confidential information except as necessary to perform contracted services, comply with applicable law, or with the Client's authorization.

Limitation of Responsibility

Unless covered by a separate Managed Services Agreement (MSA) or other written support agreement, the Client is solely responsible for the operation, administration, maintenance, security, backups, regulatory compliance, disaster recovery, user access management, and protection of its production systems and data following project delivery and acceptance.

No Implied Rights

Except for the limited license expressly granted under the applicable agreement, no ownership, license, copyright, patent, trademark, trade secret, or other intellectual property rights are granted to the Client by implication, estoppel, or otherwise.

Reservation of Rights

All rights not expressly granted to the Client are reserved by I.T.S. and, where applicable, by their respective third-party owners.
